The proposed investment consists of an up to US$100 million equity investment in diversified digital infrastructure (“DI”) assets advised by DCP Fund Adviser, LLC (the “Fund Manager”). IFC’s investment considers an indirect equity interest in: (i) Scala Data Centers S.A. (“Scala”), a hyperscale data center operator in Brazil, (ii) Edgepoint HoldCo Pte Ltd (“Edgepoint”), a tower operator in Indonesia and Malaysia, (iii) Highline do Brasil II Infraestrutura de Telecomunicações S.A. (“Highline”), a tower company in Brazil, and (iv) an investment in DI assets in emerging markets either through (A) a blind pool investment vehicle investing alongside one of the Fund Manager’s existing investment funds (the “SideCar”) or (B) another managed co-investment (together with Scala, Edgepoint and Highline, the “Project”).
